Terms of Sale

 


These Terms of Sale (hereinafter the “Terms”) are entered into between CTM, a single-shareholder simplified joint-stock company (SASU) with a share capital of €1,000.00, registered with the French Trade and Companies Register (RCS) under number 938 381 753 (hereinafter “CTM”), and any person who visits and/or makes a purchase on the website www.zenimy.co (hereinafter the “Site”), referred to below as the “User”.

Any visit to or purchase on the Site implies full and unconditional acceptance of these Terms.

 

 

 

Preliminary Article – Definitions

 


For the purposes of these Terms:

 

  • Customer: any User who has a customer account on the Site and/or purchases a Product through the Site.

  • Order: the process by which the Customer selects Products on the Site and completes payment after choosing delivery options.

  • Product: any product displayed or sold on the Site, whether purchased or not.

  • User: any person accessing the Site, whether or not they are a Customer.

  • Site: the website www.zenimy.co and all related web pages.

 

 

 

 

Article 1 – Purpose and Scope

 


These Terms define the conditions under which Users may access and use the Site and purchase Products.


By accessing any part of the Site and/or placing an Order, the User agrees, without reservation, to comply with these Terms and all referenced policies.


These Terms constitute an offer, the acceptance of which is strictly limited to the conditions set out herein.


Any new tools, features, Products, or services added after publication of these Terms shall also be subject to them.

 

 

 

Article 2 – Applicable Version of the Terms

 


The version of the Terms applicable is the most recent version available on the Site.


CTM reserves the right to update, modify, or replace all or part of these Terms at any time, without prior notice, to reflect legal, regulatory, technical, or administrative changes.


By placing an Order, the Customer accepts the Terms in force on the date of the Order.

Continued use of the Site following any update constitutes acceptance of the revised Terms.

 

 

 

Article 3 – Conditions of Use

 


The Site is hosted by Shopify Inc., which provides the e-commerce platform enabling CTM to present and sell its Products and services.


By accepting these Terms, the User confirms that they are of legal age in their country, state, or province of residence and that they consent to any minor under their responsibility using the Site.


Users must not use the Site or Products for any illegal or unauthorized purpose, nor interfere with the Site’s proper functioning through viruses, malware, or harmful code.


CTM may suspend or interrupt access to the Site or any of its services at any time, without notice, and shall not be liable for any resulting interruption.

 

 

 

Article 4 – General Conditions

 


CTM reserves the right to refuse service to any person at any time for legitimate reasons and to restrict sales by geographic area or jurisdiction.


Product descriptions and prices may be modified at any time without notice.

CTM may discontinue any Product at its sole discretion.


Any Product or service offer made on the Site is void where prohibited by law.

 

 

 

Article 5 – Prices

 


Prices may be changed without notice, including due to fluctuations in raw materials, logistics costs, or other factors.


The applicable price is the one displayed on the Site at the time the Order is placed.

Prices are expressed in euros (€), all taxes included.

 

 

 

Article 5 bis – Retention of Title

 


Products remain the property of CTM until full payment has been received.

Risk of loss or damage transfers to the Customer upon delivery.

 

 

 

Article 6 – Product Presentation

 


Product photos are provided for illustrative purposes only.

Differences in color or appearance may occur due to technical display constraints.


CTM does not guarantee that Products will meet all Customer expectations or that all Site errors will be immediately corrected.


CTM reserves the right to correct errors or inaccuracies and to cancel Orders if information on the Site is incorrect.

 

 

 

Article 7 – Optional Tools

 


The Site may provide access to third-party tools over which CTM has no control.


Such tools are provided “as is” and “as available”, without warranties.

Use of these tools is at the User’s own risk.

 

 

 

Article 8 – Third-Party Links

 


The Site may contain links to third-party websites not affiliated with CTM.


CTM is not responsible for third-party content, products, or services, nor for damages arising from their use.

 

 

 

Article 9 – User Comments and Submissions

 


Any feedback, suggestions, or content submitted by Users may be used, published, or modified by CTM without restriction or compensation.


Users remain solely responsible for the content they submit.

 

 

 

Article 10 – Personal Data

 


Personal data submitted through the Site is governed by our Privacy Policy, available on the dedicated page of the Site.

 

 

 

Article 11 – Billing and Account Information

 


Customers agree to provide accurate, complete, and up-to-date information.


CTM may limit or refuse Orders that appear to originate from resellers or distributors.

 

 

 

Article 12 – Prohibited Uses

 


Users must not use the Site for unlawful purposes, to violate intellectual property rights, submit false information, collect personal data without authorization, or circumvent Site security measures.

 

 

 

Article 13 – Orders

 


Users may browse the Site without obligation to purchase.

Creating a customer account is not required to place an Order.


An Order is confirmed once full payment is received and a confirmation email is sent.


Orders that have been processed and shipped cannot be cancelled.


CTM typically ships Orders within 3 to 5 business days, subject to force majeure or exceptional circumstances.

 

 

 

Article 14 – Delivery, Exchanges, and Returns

 


Delivery fees are displayed at checkout and vary by destination.


Delivery times (generally 8 to 15 business days after shipment) are indicative and may vary due to external factors.


In case of non-delivery, proof of non-receipt may be required.


Returns and exchanges are governed by our Returns & Refunds Policy.

 

 

 

Article 15 – Liability and Legal Warranties

 


CTM shall not be liable for failures caused by third parties, customer fault, or force majeure.


Products and services are provided “as is” and “as available”.


Customers benefit from statutory warranties under French law, including legal conformity and hidden defect warranties.

 

 

 

Article 16 – Indemnification

 


Users agree to indemnify and hold CTM harmless against any claims arising from violation of these Terms.

 

 

 

Article 17 – Severability

 


If any provision is deemed invalid, the remaining provisions shall remain in full force and effect.

 

 

 

Article 18 – Termination

 


Obligations incurred prior to termination shall survive.

CTM may terminate access in case of violation of these Terms.

 

 

 

Article 19 – No Waiver

 


Failure to enforce a provision does not constitute a waiver of rights.

 

 

 

Article 19 bis – Language

 


These Terms are written in French.

In the event of translation, the French version shall prevail in case of dispute.

 

 

 

Article 20 – Governing Law

 


These Terms are governed by and construed in accordance with French law.
